1.
GENERAL PROVISIONS |
|
Section 1
(Denomination and registered office)
1. The voluntary organisation named Laboratorio DAGAD is constituted.
2. The organisation has its registered office in via Procaccini 4, Milan.
Section. 2
1. The voluntary organisation Laboratorio DAGAD is ruled by the
following statute. It does not have any purpose of profit and operates
complying the current regulation, in particular to law no. 266 of
1999 .
2.The regulation which is approved by the board of directors, regulates
further aspects of the organisation and activity according to the
statute.
Section 3
1. The organisation's associates are tied up to the observation of the
statute.
2. It constitutes the basic rule of behaviour of the organisation's
activity.
Section 4
1. The following statute is modified and made effective by the associates'
meeting resolution with the required majority of its members which
is indicated in section 17.
Section 5
1. This statute must comply to the contracts law and section 12 of the
Civil Code's general provisions.

OBJECTIVES OF THE ORGANISATION |

Section. 6 -
Objective
1. Laboratorio DAGAD is a secular and unaligned voluntary organisation.
Its associative structure is based on the principles of democracy
and cultural progress. It does not have any purpose of profit.
2. Laboratorio DAGAD commit itself to aims and objectives of knowledge,
divulgation and promotion of architecture quality, in particular to the
work and ideas of young architects and designers. Therefore its
objectives are:
a) Creating and updating periodically a public archive in which the
collection of projects of young architects and designers - no more than
40 years old - will be available. These projects must distinguish
themselves for their quality and accuracy of the research and function
involved.
b) Disseminating projects and works selected in the fields of design and
architecture in order to increasingly improve their circulation
and to enhance the value of the contribution offered by young Italian
architects and designers.
c) A more general cultural project of architecture and design whose
premise is the awareness of the collective value brought to the
environment and man's life by those disciplines. Moreover, this
project is developed through the integration of the contribute given by
young architects and designers.
d) Confronting at international level, in order to identify in the
different local approaches those conditions of high quality
regarding the architectural project which could act as a stimulus for our culture and
profession.
e) Sensitizing public and private customers to the production of
projects of young designer an architects, in particular to the
opportunities offered by open competitions and other forms of selection.
Section 7 -
Activities
1. According to its own logistic and organisational possibilities, Laboratorio DAGAD in order
to achieve its purposes will carry out the following
activities:
a) knowing, analysing, and monitoring the Italian architectural and design production
in order to identify young architects and designers which will be added
to our archive.
b) Obtaining the documentation of projects and works, cataloguing and
filing it so as to it will be easily accessible and usable by both the
people of the organisation and the public.
c) Advertising, making known by all means considered suitable, the
existence of the archive in order to promote its consultation by
potentially interested subjects such as universities, research
institutes, specialized publishers, private and public institutions,
professionals, companies connected with architecture, construction,
design, industrial production, and professionals' associations.
d) Disseminating and promoting the knowledge of the catalogued works, as
much in Italy as abroad, with publications, exhibitions, videos and
other medias.
e) Organising meetings, conferences, seminars, courses whose contents
are consistent with this statute f) Supporting, promoting and
stimulating the use of open competitions for the assignment of works
related to architecture and design, paying particular attention to the
participation of young architects and designers in these competitions.
Section 8
1. Laboratorio DAGAD performs its activity mostly at national level.
However, profit is excluded from the purposes of the organisation.

3. MEMBERS |

Section 9 -
Admission
1. Any person who agrees with the objectives of the organisation and can
offer his positive contribute to the cultural progress and the
dissemination of architecture, can be a member of Laboratorio DAGAD,
particularly by young people.
2. Young architects and designer not over 40 years old who are selected
and catalogued in the documentation centre's archive, automatically
become members.
3. People who are at least 18 years old and pay for the subscription according
to the amounts and terms yearly indicated by the Board of Directors, can
be members of Laboratorio DAGAD,
4. The admission is formalised by the president after a written request
of the applicant.
Section 10 - Rights
1. Laboratorio DAGAD's members have the right to elect the Board of
Directors.
2. They have the right of information and check according to law an the
Statute.
3. Laboratorio DAGAD's members can:
a) participate to the life of the organisation according to the rules
indicated by this Statute and the regulations resulting from it.
b) demand Assembly summoning according to
the terms indicated by this Statute.
c) make proposal to the directing organs, about the programmes of the
organisation and in relation to the aims indicated by this Statute.
Section 11 - Obligations
1. Laboratorio DAGAD's members must:
a) carry out their activity for free in a personal and spontaneous way
without any profit.
b) obey the rules of this Statute and the decision taken by the organs
of the organisation.
c) act in a manner which will not cause any damage to immovable and
movable properties as well a the organisation's image.
2. The behaviour towards other members and is moved
by fairness, good faith, honesty, probity and moral rigour.
3. May also be a member whoever carries out similar Laboratorio DAGAD's
activities as long as they will not compete or clash with the
organisation.
4. Whoever has a working relationship of any form with the organisation
cannot be a member.
Section 12 - Exclusion
1. Membership terminates:
a) if a request of payment for the membership is unfulfilled.
b) because of the incompatibility with the obligations.
c) because of exclusion.
d) because of death.
Membership terminates if the
subscription it is not paid within the term indicated by the assembly.
Membership terminates if a member is in the condition expressed in the
above mentioned Section 11 par. 4
Membership terminates because of exclusion if a member violates this
Statute and its result is an incompatibility of the relationship
with the organisation.
2. If a member violates Section 12 par. 1, he must be informed and must
have the possibility to defend himself. Members can appeal within one
month from the notification. Measures expressed in Sec.12 par 1 are
effective after the notification.

Section 13
1. This organisation is formed by the following organs :
- ASSEMBLY;
- BOARD OF DIRECTORS
- PRESIDENT
- SELECTION BOARD
Assembly
Section 14 - Composition
1. The assembly is formed by every member of Laboratorio DAGAD.
2. The assembly's chairman is the president.
Section 15 - Summoning
1. The assembly of members summons:
a) if it is requested by the president or the board of directors.
b) once a year within April 30 in order to vote the balance sheet and
other obligations.
c) if it is requested by at least 1/10 (
one tenth ) of its members.
d) also for advisory, for periodical plans verification and on the
occasion of important initiatives concerning organisational and
associative development.
2. The assembly is convened by the president with a written
communication including the agenda, which must be displayed at the
headquarter at least 10 days before the date of the meeting.
3. Members who duly paid for their membership can participate.
4. The assembly's meetings may
become public whenever subjects of general interest are in the agenda.
The president has the power to allow to speak people who are not
members.
Art. 16 - Validity and functions of the assembly.
1. The first meeting is valid when half-plus-one of the voting members
are gathered. It is not required for the second meeting a particular
number of members.
It is required between the first and the second meeting an interval of
at least one hour .
Proxy is admitted with the exception of Statute modifications and
dissolution of the organisation.
2. At the first meeting, assembly elects a president and a secretary.
If needed it appoints at least three pool clerks for the vote with
ballot-paper.
3. The assembly can perform the following actions:
a) approval of the balance sheet for the financial year closing on
December 31st and the budget for the year to come.
b) approval of the board of directors' report.
c) approval of the organisation's plans.
d) approval and modification of the organisation's general rule
according to its associative nature.
e) election of the board of directors
among the members of the organisation.
f) approval of the Statute modifications.
g) deliberating about any matter subjected for its approval.
Section 17 - Vote
1. The assembly deliberates with the majority of the member present.
2. The deliberation of dissolution is valid with the majority of 3/4
(three quarters) of the members.
3. The assembly deliberates with recorded vote.
Secret ballot is adopted when the assembly elects organisation's members
or when the deliberation involves a private person.
Section 18 - Minutes
1. Discussions and deliberations of the assembly are resumed in the
minutes edited by the secretary and signed by the president.
2. Minutes are kept, under the president's responsibility, at the Laboratorio DAGAD
headquarter.
3. Every member of Laboratorio DAGAD has the right to check the minutes.
Board of directors
Section 19 - Composition and duration
1. The board of directors members range from a minimum of 5 (five) to a
maximum of 15 (fifteen). The assembly must determine its number before
proceeding with the election.
2. The board of directors remain in office for 5 (five) years and its
members are re-eligible.
3. The board of directors is gathered whenever the president deems it is
opportune or it is requested by at least one third of its members.
Board of directors meetings are convened with the following methods:
a) "Ordinary" meeting: through a written notification which
has to be sent at least 5 (five) days before the date determined.
b) "Urgent" meeting: trough a verbal notification (by
telephone as well)
at least 24 (twenty four) hours before

edited by the secretary and under the president's responsibility.
Section 20
1. Whenever the board of directors, because of vacancy, will have to
proceed with the substitution of one or more members, its new members
will be elected by the assembly.
2. Vacancy of half plus one of the board of directors' members will lead
to its cessation.
The cessation of the board of directors involve the cessation of the
selection board as well.
In the case of cessation of the organisation's organs, the president
will immediately convene the assembly in order to re-elect the same
organs.
Section 21 - Functions
1. The functions of the board of directors are:
a) approving the draft and the report of the balance sheet for the year
closing on December 31st and for the following year.
b) approving and modifying the amount of subscriptions and determine their payment
terms, as well as other reasons which can determine the exclusion from
this obligation.
c) identifying, approving and modifying the valuation criteria for the
candidates which will be included in the organisation's archive,
according to the contents and the spirit of this statute.
d) preparing, approving and modifying the evaluation file which it is an
operative instrument relating to the preceding paragraph.
e) arranging the proposals which will be presented to the assembly in
order to comply the preceding section 16.
f) executing the deliberations of the assembly.
g) adopting all the needed measures in order to manage the organisation.
h) signing contracts, conventions, agreements in order to achieve the
organisation's objectives.
i) joining in organisations in order to achieve purposes and objectives
of this statute.
j) complying to the measures indicated in the preceding section 12
(members exclusion)
k) hiring employees or other forms of employment according to the
dispositions of this statute.
l) deliberating about the use of proceeds
resulting from the organisation's economic resources.
Section 22 -
Validity of board of directors' meetings
2. Board of directors' meetings are valid with the participation of half
plus one of its members.
3. Board of directors approves its deliberations with recorded vote.
Secret ballot is adopted when the assembly elects organisation's members
or when the deliberation involves a private person.
4. Same rules of validity for the assembly apply for the board of
directors.
5. Associative regulations indicate the advisory participation forms
during the board of directors' meetings.
The president, the vice-president, the secretary and the treasurer.
Section 23 - Election
1. The board of directors, at the same time of its election by the
assembly, or during the following meeting, nominates.
The President.
The Vice-president, who substitutes the president in the case of his
absence or impediment.
The Secretary.
The Treasurer.
Section 24 - President's functions
1. The president has Laboratorio DAGAD's proxy and he represents the
organisation in court in order to protect its moral and material
interests. He can nominate attorneys and prosecutors for active and
passive disputes.
2. The president signs every contract on behalf of Laboratorio DAGAD and
he collects, on the organisation's interest, money from third parties
issuing a receipt of payment.
3. The president can delegate to the vice-president or another member of
the board of directors some of his powers.
Section 25 - Treasure and secretary's functions
1. The functions of the treasurer and the secretary are determined by
Laboratorio DAGAD's general rule.
The selection board
Section 26 - Composition, duration, functions and selection criteria
1. The selection board's members range from is a minimum of 5 (five) to
a maximum of 9 (nine). Its duration is of 5 (five) years and its members
are re-eligible.
Members of the selection board can be selected either inside and outside
of the organisation and must be chosen among important people in the
cultural and economic field.
The appointment of the members made by the board of directors takes
place after a nomination made by the assembly or the board of directors
or after a self-nomination.
2. The selection board is led by the president of Laboratorio DAGAD who
must be counted in the number of the members indicated in the preceding
paragraph.
3. The selection board, with unquestionable decision, deliberates on the
inclusion of architects and designers in the official Laboratorio DAGAD's
archive.
Evaluations will be regulated by a specific document, the evaluation
card, in which all the parameters of reference for the evaluation will
be identified. The evaluation card will be drawn up and adopted by the
board of directors.
The selection will have to be inspired to the following criteria:
1) The candidate must be no more than 40 years old at the time of the
application.
2) The candidate must have created at least an architectural or design
work.
3) The candidate's activity must be inspired to the criteria of
professional propriety and the respect for the law and ethics.
4) The candidate must have carried out high quality projects and works
according to the purchaser's requirements but also to the quality
principles of the architectural or industrial product. These projects
must take their cues from research and in-depth examination compared
with technological aspects, formal and aesthetical, historical or any
other, during their architectural or industrial production process.
5) Projects, which have won architecture and design awards and contests,
are more likely to be included in the archive.
6) Projects cannot be excluded because
of their architectural school of thought, their tendency to a particular
style, their affiliation to any organisation related to the architecture
field or any other feature which is discriminating towards the other
candidates.
The board of selection draws up the minutes of its meetings. Laboratorio
DAGAD's president communicates the board's deliberations to the person
concerned.
Section 27
1. The regulation of the organisation determines the advisory
participation forms of the board of selection.

ECONOMIC RESOURCES |

Section 28
1. The economic resources of Laboratorio DAGAD are formed by:
a) movable and immovable properties.
b) contributions made by public and private organisations.
c) donations and legacies.
d) refunds derived from conventions.
e) incomes derived from commercial marginal activities.
f) public and private securities.
g) incomes, according to section 5 law 11/08/91 n.266, assigned to the
organisation in order to achieve its objectives and purposes or
specifically assigned to a project.
h) any other kind of income.
Section 29
1. Laboratorio DAGAD's properties are immovable, movable properties and
registered movable properties.
2. immovable and registered movable properties can be owned by
Laboratorio DAGAd and are registered in its name.
3. Movable properties owned by associates and third parties are
delivered to the organisation under a bailment agreement.
4. Immovable and movable properties are listed in the inventory
and deposited at DAGAD's headquarter. Any organisation's member can
consult the inventory. Consumer goods and those goods daily used in the
organisation's activity are not included in this inventory.
Section
30
1. Member's contributions are formed by the annual subscription whose
price is set by the board of directors.
Section 31
1. Free contributions and donations are accepted by the president who
uses them according to the purposes of Laboratorio DAGAD's statute.
2. Legacies are accepted, with reservations, by the president who uses
them according to the purposes of Laboratorio DAGAD's statute.
Section 32
1. Refunds of the costs for activities derived from conventions are
accepted by the president.
2. The president decides about the use of these refunds according to
convention agreement and the purposes of Laboratorio DAGAD's statute.
Section 33
1. Incomes derived from commercial and productive marginal activities
are included in a specific line in the balance sheet.
2. The president decides about the use of these incomes according to the
purposes of Laboratorio DAGAD's statute.
Section 34
1. In the case of dissolution, Laboratorio DAGAD's assets will be given to
other subjects, giving priority to those who share similar purposes,
according to the board of directors' guidelines.

BALANCE SHEET |

Section 35
1. The balance sheet of Laboratorio DAGAD is from January 1st to
December 31st.
2. The balance sheet includes all incomes and costs of one year period.
3. The balance sheet includes the estimation of costs and incomes for
the next year.
Section 36
1. The balance sheet is drawn up by a company or a person appointed by
the president. It includes the single cost and income lines (clustered
in elements) of one year period.
2. The budget for the next year is drawn up by a person appointed by the
president.

1. The balance sheet and the budget are supervised by the treasurer.
2. His supervision is limited to the regularity and reliability of costs
and incomes.
3. Further details to costs and incomes are attached to the balance
sheet and presented to the board of directors.
Section 38
1. The balance sheet is approved
by the board of directors with recorded vote and the simple majority of
the voting members within April 30th.
2. Any member may consult and remark the balance sheet at DAGAD's
headquarter at least 15 (fifteen) days before its approval.
During the approval, the board of directors must consider those remarks
and give a written response to the members.
3. The budget is approved by the board of directors with recorded vote
and with the simple majority of the voting members within April 30th.

7.
AGREEMENTS |

Section 39
1. The president draws up agreements between LABORATORIO DAGAD and other
organisations and they are approved by the board of directors.
2. A copy of every agreement is kept at DAGAD headquarter under the
president responsibility.

1. The board of directors deliberates on the agreements' methods of
implementation.

8.
EMPLOYMENT |

Section 41
1. Laboratorio DAGAD can hire employees.
2. Relationships among Laboratorio DAGAD and employees are ruled by law
and collective contracts.
3. Employees, according to law and regulation, are insured against
diseases, industrial accidents and civil liability towards third
parties.
Section 42
1. Laboratorio DAGAD may take advantage from self-employed
collaborators.
2. Relationships among Laboratorio DAGAD and its self-employed
collaborators are regulated by law.

9. LIABILITY |

Section 43
1. Laboratorio DAGAD's members and the people included in its archive
are protected by privacy law about the use of their records and
documentation.
Section 44
1. Laboratorio DAGAD is liable, according to law and its economic
resources, for damages caused by the non-compliance of agreements and
contracts.
Section 45
1. Laboratorio DAGAD may insure itself against damages caused by its
contractual and extra contractual liability.

RELATIONSHIPS WITH OTHER ORGANISATIONS |

Section 46
1. Laboratorio DAGAD co-operates with other private and public
organisation in order to achieve its cultural purposes mentioned in this
statute.

1. Laboratorio DAGAD periodically gives information about its activity
to public and private organisations sharing similar purposes.

11.
TRANSITORY AND FINAL PROVISIONS

Section 48
1. Every statute's modification must be communicated to the
administrative offices of Regione Lombardia within 15 (fifteen) days
from its approval.
Section 49
1. Any other issue which is not mentioned in this statute is regulated by
general principles of legal order and current regulation, specifically
law 11/8/91 no. 266.
Section 50
1. The duration limits mentioned in section 19 par. 2 and 26 par. 1, may
exclusively be modified during the first office with deliberation of the
board of directors, with the only aim of improving the effectiveness of
the organisation's activity during its founding phase.
